Terms of Membership

1. Acceptance

By submitting a membership application to the Clark Investors & Locators Association (CILA), the applicant agrees to be bound by these Terms of Membership and the CILA By-laws, as may be amended from time to time by the Board of Directors.

Submission of an application constitutes acceptance of all terms stated herein. If the applicant does not agree to these terms, the application should not be submitted.

2. Membership Unit

Membership in CILA is granted to a company (juridical entity), not to individual persons. The member company designates its authorized representatives (delegates) who may attend meetings, vote, and participate in CILA activities on behalf of the company.

Changes in authorized delegates must be communicated in writing to the CILA Secretariat. CILA shall not be liable for acts of any person purporting to represent a member company without proper authorization.

3. Classifications

CILA recognizes two (2) classes of membership:

• Regular Member — Investors and locators operating a business within the Clark Special Economic Zone (CSEZ). Regular members enjoy full voting rights at General Membership Assemblies and are eligible to run for and vote for the Board of Directors.
• Associate Member — Businesses with CSEZ-related activities but not based within the zone. Associate members have advisory and observer status only, with no voting rights or eligibility for the Board of Directors.

4. Annual Dues

Annual dues amounts are set by the Finance Committee and ratified by the Board of Directors. Dues are subject to change; current amounts are communicated to members at the start of each fiscal year.

Dues must be paid in full to maintain good standing. Unpaid annual dues result in the following consequences:

• One (1) year of unpaid dues: membership is suspended and benefits are withheld pending payment
• Two (2) years of unpaid dues: automatic cessation of membership, unless the Board decides otherwise upon written appeal

5. Good Standing

A member company is considered in good standing when it has:

• Paid annual dues in full for the current fiscal year
• Not been suspended or expelled by the Board of Directors
• Complied with all applicable CILA policies and the By-laws

Only members in good standing may exercise membership rights, including voting and access to member-exclusive resources.

6. Benefits and Entitlements

Membership benefits and entitlements apply exclusively to member companies in good standing. Entitlements are company-specific and are non-transferable to other companies and non-refundable once consumed or upon cessation of membership.

CILA reserves the right to modify, add, or withdraw benefits by resolution of the Board of Directors, with reasonable notice to members.

7. Conduct

Member companies and their authorized representatives agree to conduct themselves in a manner consistent with the objectives and values of the association, and to refrain from any act that may be detrimental to the interests of CILA or its members.

The Board of Directors may, after due notice and hearing, suspend or expel a member company for conduct detrimental to the association. The affected company shall be given the opportunity to be heard before any disciplinary action is imposed.

8. Privacy

Member data is collected and processed in accordance with the CILA Privacy Notice and Republic Act No. 10173 (Data Privacy Act of 2012). By becoming a member, the company consents to the collection and processing of its data for membership management and association purposes as described in the Privacy Notice.

9. Amendments

CILA reserves the right to amend these Terms of Membership by resolution of the Board of Directors. Members will be notified of material changes via email and through official CILA communications channels. Continued membership after notice of amendments constitutes acceptance of the amended terms.

10. Governing Law

These Terms of Membership are governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or relating to membership in CILA shall first be submitted to the Board's internal grievance process before recourse to the courts or other external bodies.

11. Effective Date

These Terms of Membership are effective as of January 1, 2026. They supersede all prior terms, agreements, and understandings relating to membership in CILA.
